Terms and Conditions for Using the Webooker System
1. Introductory Provisions
1.1
These Terms and Conditions (the “Terms”) govern the rights and obligations between Aperus, s.r.o., with its registered office at Osetá 632, 198 00 Prague 9, company registration number 28863976, registered with the Municipal Court in Prague, Section C, File 149869/MSPH (the “Provider”), and the customer ordering the Webooker service (the “Customer”).
1.2
The Webooker service is an online system for managing courses, enrollments, communication with students, and other related activities.
1.3
By ordering the service or registering for a free trial on the website www.webooker.de, the Customer confirms familiarity with these Terms and expressly agrees to them. Consent is given by ticking the relevant checkbox.
1.4
The Customer agrees that the Provider may send emails with information about using the system, including instructions, tips for efficient use, notices about new features and changes, and occasional surveys intended to improve service quality. This consent may be withdrawn at any time via the unsubscribe link in the footer of each email or by contacting the Provider.
2. Subject of the Contract and Scope of Services
2.1
The subject of the contract is the provision of access to the Webooker system in one of the selected service packages:

A detailed description of the features included in each package is available on the Provider’s website.
2.3
The service is provided under the Software as a Service (SaaS) model, meaning via the internet and without physical delivery of software.
2.4
The service can be ordered directly or through a free 7-day trial period. During the trial, all features of the selected package are fully available. No payment card is required for trial registration.

- Business Plus: priced at EUR 69 per month
3. Prices and Payment Terms
3.1
The listed prices are net prices. Applicable taxes (e.g. VAT) are calculated and displayed at checkout based on the Customer's country and tax status.
3.2
When ordering the service directly, the Customer is required to provide a valid payment card through the secure Stripe payment gateway. The service is activated as a 7-day free trial — no charge is made during the trial period. After the trial ends, payment is made monthly by automatic charge of the relevant amount to the payment card.
3.3
When ordering through the free trial, no payment card is required. After the 7-day trial period, an invoice for the first month is automatically issued and sent to the Customer by email. The payment term is 14 days from the invoice date
3.4
After each successful payment, an invoice is issued and sent to the Customer by email.
3.5
If payment fails, for example due to insufficient funds, an expired card, or an unpaid invoice, the Customer will be notified by email. Automatic payment retries will be attempted over a period of up to 14 days.
3.6
The Provider reserves the right to adjust prices. The Customer will be informed of any price change at least 30 days in advance. The change takes effect from the next billing period.
4. Contract Duration and Termination
4.1
The contract is concluded for an indefinite period. When ordered through the free trial, the contract begins at the time of registration.
4.2
The Customer may cancel the service at any time during the free trial period without any further obligations. In this case, no invoice will be issued.
4.3
If a payment cannot be processed successfully, for example due to rejection by the payment gateway or an unpaid invoice, the Customer will be notified by email. Access to the system is maintained during the grace period (see 3.5).
4.4
If payment is not made within 30 days from the first failure, the Provider is entitled to terminate the contract unilaterally and deactivate access to the system. Data stored in the system is retained for 90 days after deactivation to allow the Customer to export their data. After this period, all data is permanently deleted. The Customer is responsible for backing up data in a timely manner.
4.5
The Customer may terminate the contract at any time without giving reasons — either immediately or at the end of the current billing period. Cancellation is done through the customer portal (Stripe Customer Portal). No refund is provided for billing periods already started.
4.6
The Provider may also terminate the contract without giving reasons, with a notice period of 60 days, by email sent to the Customer’s address. This is intended to provide sufficient time to complete courses, export data, and move to another system.
5. Rights and Obligations of the Contracting Parties
5.1
The Provider undertakes to ensure service availability of at least 98% of monthly time, excluding planned maintenance announced to the Customer in advance.
5.2
The Customer undertakes to use the service in compliance with applicable laws and these Terms, in particular not to misuse the system for unlawful activities.
5.3
The Customer is responsible for the accuracy and timeliness of the data entered into the system.
6. Liability and Complaints
6.1
The Provider is not liable for damage caused by improper use of the system by the Customer.
6.2
Complaints regarding the functionality of the service must be submitted in writing without undue delay. The Provider undertakes to respond within 5 business days.
7. Data Protection
7.1
When processing personal data, the Provider acts in accordance with Regulation (EU) 2016/679 (GDPR) and the law of the Czech Republic.
7.2
The Provider acts as controller for Customer data and as processor of the user data entered into the system by the Customer.
7.3
Details of personal data processing are set out in the Privacy Policy available on the Provider’s website.
8. Final Provisions
8.1
Legal relations between the contracting parties are governed by the law of the Czech Republic.
8.2
Any disputes shall be decided by the competent courts of the Czech Republic.
8.3
These Terms take effect when the Webooker service is ordered or upon registration for the free trial.
